Terms of Service

These Terms of Service ("Terms") govern your access to and use of Liveline ("Liveline", "we", "us", or "our"), the AI-assisted, multi-channel conversation management platform operated at getliveline.com. Liveline is developed by Xphere Technology Company. For these Terms, "we", "us", or "our" means Xphere Technology Company S.A. de C.V. in Mexico and Xphere Technology Company LLC in the United States, as applicable. By creating an account, accessing, or using Liveline, you ("Customer", "you") agree to these Terms. If you are entering into these Terms on behalf of a business, you represent that you are authorized to bind that business.
1. The service
Liveline lets businesses receive, manage, route, and respond to customer conversations across messaging channels such as WhatsApp, Instagram, and Facebook Messenger, including AI-assisted replies, business-knowledge retrieval, a visual conversation pipeline and human handoff. API integrations are also available. Collecting a quote or appointment request does not itself confirm a price, booking or availability. We may update, improve, or modify the service over time. Some features depend on third-party platforms and are subject to their availability and terms.
2. Accounts and eligibility
You must provide accurate account information and keep it current. You are responsible for safeguarding your credentials and API tokens and for all activity under your account and workspace. You must be at least the age of majority in your jurisdiction and use Liveline only for lawful business purposes.
3. Acceptable use
You agree not to, and not to permit others to:
- Send spam, unsolicited messages, or content that violates the policies of WhatsApp, Instagram, Facebook Messenger, or any other connected platform.
- Use the service for unlawful, fraudulent, harmful, deceptive, or abusive purposes.
- Upload or transmit malware, or attempt to gain unauthorized access to the service, other workspaces, or its systems.
- Reverse engineer, resell, or exceed the rate limits of the platform or its API except as expressly permitted.
- Process personal data of your end users without a valid legal basis and an adequate privacy notice.
4. Third-party platforms and AI
Your use of connected channels (Meta's WhatsApp, Instagram, and Messenger) and of AI providers (including OpenAI, DeepSeek when configured, and Anthropic with a Customer's own supported API key) is also governed by their respective terms and policies, and you agree to comply with them. You are responsible for obtaining any consents required to message your end users and to process their content through those providers. Liveline is not responsible for changes, limitations, or outages of third-party platforms.
The provider used for a reply depends on the plan and configuration. A configured fallback may be used if the primary provider is unavailable. Knowledge retrieval may still use OpenAI when replies use another provider. You are responsible for the information, instructions, credentials and notification destinations you configure, and for authorizing their use.
5. AI-generated content
Liveline generates suggested and automated replies using AI. AI output can be inaccurate, incomplete, or inappropriate for a given context. Automated replies can be sent without prior human review. You are responsible for configuring and monitoring agents, setting escalation rules, and reviewing messages sent from your workspace. Do not rely on AI output as professional advice or confirmation of a transaction that has not been verified.
6. Fees and billing
Paid plans are billed through Stripe on a recurring basis until cancelled. The amount, currency and billing interval shown at checkout apply; changing the interface language does not change the subscription's billing currency. Unless stated otherwise, fees are non-refundable and exclusive of taxes. We may change pricing on a prospective basis with reasonable notice. Failure to pay may result in suspension or termination of the service. You can cancel at any time, effective at the end of the current billing period.
When a card-free trial is offered, its duration is shown with the offer. A trial does not automatically create a paid subscription: you must complete checkout to subscribe. Access may be restricted when the trial expires. Contact legal@getliveline.com for cancellation or billing assistance. Deleting your login does not cancel your subscription or request deletion of all workspace data. Charges from your own AI-provider account are separate from your Liveline subscription.
7. Customer data and privacy
As between you and Liveline, you own the conversation data you process through the platform. You grant us the limited rights needed to host and process that data to provide the service. Our handling of personal data is described in our Privacy Policy. For data your end users send, you act as the controller and Liveline acts as a processor on your behalf.
8. Intellectual property
Liveline and its software, design, and trademarks are owned by us and our licensors. These Terms grant you a limited, non-exclusive, non-transferable right to use the service. You retain all rights in your own content.
9. Disclaimers
The service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted, secure, or error-free.
10. Limitation of liability
To the maximum extent permitted by law, Liveline will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, or data. Our total liability for any claim arising out of or relating to the service will not exceed the amounts you paid to us for the service in the twelve (12) months preceding the event giving rise to the claim.
11. Indemnification
You agree to indemnify and hold Liveline harmless from claims, damages, and expenses arising from your use of the service, your content, or your violation of these Terms or applicable law, including the policies of connected platforms.
12. Term and termination
These Terms apply while you use the service. You may stop using and close your account at any time. We may suspend or terminate access if you breach these Terms, create risk or legal exposure, or fail to pay. Upon termination, your right to use the service ends. Subscription cancellation, deletion of a login and deletion of a workspace are distinct actions. Request workspace data deletion or export assistance separately as described in our Privacy Policy. Workspaces that never enter a paid subscription may be removed after their trial or registration grace period, following a deletion warning. Previously subscribed workspaces are excluded from that cleanup even if their subscription ends.
13. Changes to these Terms
We may update these Terms from time to time. We will revise the "Last updated" date above and, where appropriate, provide additional notice. Your continued use after changes take effect constitutes acceptance of the updated Terms.
14. Governing law
These Terms are governed by the laws applicable at our principal place of business, without regard to conflict-of-laws rules. The parties submit to the competent courts of that jurisdiction, except where mandatory consumer-protection law provides otherwise.
